1. Acceptance of Terms
Welcome to SATU Agency ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of our digital marketing services, including but not limited to web development, web design, social media management, SEO, paid advertising, content creation, photography, videography, and related services (collectively, the "Services").
By engaging our Services or scheduling a consultation through our Calendly booking system at https://calendly.com/satuagency/consultation, you agree to be bound by these Terms.
2. Services Description
2.1 Digital Marketing Services
- Paid Advertising: Campaign creation, management, and optimization across platforms including Google Ads, Facebook Ads, Instagram Ads, and other digital advertising platforms.
- Search Engine Optimization (SEO): On-page and off-page optimization, keyword research, content optimization, and technical SEO improvements.
- Content Creation: Development of written, visual, and multimedia content including blog posts, social media content, graphics, videos, and marketing materials.
- Social Media Management: Account management, content scheduling, community engagement, and social media strategy development.
- Web Development & Design: Website creation, maintenance, updates, and optimization for performance and user experience.
- Photography & Videography: Professional photography and video production services for marketing and promotional purposes.
2.2 Service Customization
Services are tailored to each client's specific needs as outlined in individual service agreements or proposals. Custom pricing and service packages are available based on project scope and requirements.
3. Payment Terms and Conditions
3.1 Pricing and Fees
- All prices are quoted in USD unless otherwise specified
- Pricing for ongoing services is based on monthly retainers or project-based fees
- Custom pricing is available for enterprise clients and complex projects
- Additional fees may apply for rush orders, extensive revisions, or scope changes
3.2 Payment Schedule
- Monthly retainer services: Payment due on the 1st of each month
- Project-based work: 50% deposit required before work begins, remainder due upon completion
- Paid advertising services: Ad spend is billed separately from management fees
- Late payments may incur a 1.5% monthly service charge
3.3 Refund Policy
Refunds are considered on a case-by-case basis. Work completed and delivered cannot be refunded. Unused portions of prepaid services may be refunded at our discretion within 30 days of service termination.
4. Client Responsibilities
- Provide accurate and complete information necessary for service delivery
- Grant necessary access to accounts, platforms, and systems required for service execution
- Respond to requests for feedback, approvals, and revisions in a timely manner
- Ensure all provided content complies with applicable laws and platform policies
- Maintain current payment information and ensure timely payment of invoices
- Communicate changes in business objectives or strategy that may affect service delivery
5. Service Limitations and Disclaimers
5.1 Performance Disclaimers
- We cannot guarantee specific results, rankings, or performance metrics
- Digital marketing results depend on various factors beyond our control
- SEO results typically take 3-6 months to show significant improvement
- Paid advertising performance depends on budget, competition, and market conditions
5.2 Third-Party Platform Dependencies
Our services often depend on third-party platforms (Google, Facebook, Instagram, etc.). We are not responsible for changes to these platforms' policies, algorithms, or availability that may affect service delivery or results.
6. Intellectual Property Rights
6.1 Client-Owned Content
Clients retain ownership of their original content, trademarks, and proprietary information. By engaging our services, clients grant us a non-exclusive license to use their content for service delivery purposes.
6.2 SATU Agency-Created Content
Upon full payment, clients receive ownership of custom content created specifically for them, including graphics, copy, and marketing materials. However, we retain the right to use general methodologies, techniques, and non-confidential insights gained during service delivery.
6.3 Portfolio Usage
We reserve the right to showcase completed work in our portfolio and marketing materials unless specifically prohibited by a signed non-disclosure agreement.
7. Confidentiality
We maintain strict confidentiality regarding client information, business strategies, and proprietary data. Our team members are bound by confidentiality agreements. We will not disclose client information to third parties without explicit consent, except as required by law.
Clients are expected to maintain confidentiality regarding our proprietary methods, strategies, and business information shared during the service relationship.
8. Data Privacy and Security
8.1 Data Collection and Use
- We collect only data necessary for service delivery and business operations
- Client data is used solely for providing contracted services
- We do not sell or share client data with unauthorized third parties
- Analytics and performance data may be aggregated and anonymized for reporting purposes
8.2 Data Security
- We implement industry-standard security measures to protect client data
- Access to client accounts and data is limited to authorized team members
- We use secure, encrypted connections for all data transmission
- Regular security audits and updates are performed on our systems
8.3 Data Retention
Client data is retained for the duration of the service relationship and for a reasonable period thereafter for business and legal purposes. Clients may request data deletion upon service termination, subject to legal retention requirements.
9. Consultation Scheduling and Calendly Usage
We use Calendly for consultation scheduling at https://calendly.com/satuagency/consultation. By booking a consultation:
- You agree to provide accurate contact information
- You consent to receive appointment confirmations and reminders
- You understand that consultation scheduling is subject to our availability
- Cancellations or rescheduling requests should be made at least 24 hours in advance
- No-shows may result in charges for future consultations
10. Service Termination
10.1 Termination by Client
Clients may terminate services with 30 days written notice. Final invoices for completed work and any applicable cancellation fees will be due upon termination.
10.2 Termination by SATU Agency
We reserve the right to terminate services immediately for non-payment, breach of terms, or if continuation of services would violate laws or platform policies.
10.3 Post-Termination
Upon termination, we will provide reasonable assistance in transitioning services. Clients are responsible for updating account access and passwords. Confidentiality obligations survive termination.
11. Limitation of Liability
To the maximum extent permitted by law, SATU Agency's liability for any claims arising from our services is limited to the amount paid by the client for services in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or business opportunities.
This limitation applies regardless of the legal theory of liability and even if we have been advised of the possibility of such damages.
12. Dispute Resolution
12.1 Good Faith Resolution
We encourage open communication to resolve any disputes. Clients should first contact us directly to discuss concerns and seek resolution in good faith.
12.2 Mediation and Arbitration
If direct resolution is not possible, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in English and governed by the laws of the jurisdiction where SATU Agency is incorporated.
13. Changes to Terms of Service
We reserve the right to modify these Terms at any time. Significant changes will be communicated to active clients via email or through our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
The most current version of these Terms will always be available on our website.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction where SATU Agency is incorporated, without regard to conflict of law principles.
